Terms and Conditions of Service

1.Introduction and Definitions

These Terms and Conditions of Use (hereinafter, the “Terms”) govern the access, use, and operation of the digital platform called WIPUU (hereinafter, the “Platform”), available through its mobile application and its official website https://wipuu.com.

The Platform is operated by:

WIPUU Services S.A.P.I. de C.V., a company incorporated under the laws of the United Mexican States, with its address in Mexico City, Mexico, responsible for the global operation of the Platform (hereinafter, “WIPUU Global”).
In Argentina, operations are managed by WIPUU Services S.A.S., a company registered under Argentine laws, which uses the technological infrastructure of WIPUU Global but operates independently in administrative, operational, and financial matters, including its own social media and payment systems (hereinafter, “WIPUU Argentina”).
By accessing, registering, or using WIPUU’s services, the user expressly accepts these Terms, as well as any complementary policies published on the Platform.

2. Nature of the Platform and Limited Liability

WIPUU is a digital marketplace for local tourist experiences, connecting providers of tourist services (hereinafter, the “Affiliates”) with users or buyers (hereinafter, the “Users”) interested in booking or purchasing said experiences.

WIPUU is not an organizer, producer, or direct provider of the published experiences, acting exclusively as a technological intermediary between Users and Affiliates.

Each Affiliate is solely responsible for:

Compliance with applicable laws in the provision of their services.
The quality, safety, legality, and satisfaction of the experience offered.
Possessing the necessary permits, licenses, or insurance for their operation.
WIPUU does not guarantee the execution, quality, or suitability of the experiences offered. Any claim regarding the contracted service must be addressed directly to the corresponding Affiliate.

3. Registration and User Accounts

To access the Services, Users and Affiliates must create a personal account by providing truthful and up-to-date information.
WIPUU may request additional documentation to verify the identity or legitimacy of the Affiliate and their business.

Minors may use the Platform only under adult supervision and may not make purchases or register as Affiliates.

WIPUU reserves the right to suspend or cancel accounts if false information, misuse of the Platform, fraudulent activities, or violation of these Terms is detected.

4. Payment Gateways and Transactions

Financial operations are processed through the following intermediaries:

Stripe, for all global operations outside Argentina.
Mercado Pago, exclusively for operations within Argentina.
WIPUU does not store banking or card information. All payment processing is managed directly by the certified gateways mentioned above, in accordance with international security standards (PCI-DSS).

5. Affiliate Payment Policy

Payment to Affiliates will be made within 7 (seven) calendar days after the date on which the experience has been effectively completed and validated.
This period aims to provide security to both the User and WIPUU, ensuring that the experience has been satisfactorily fulfilled.

WIPUU may withhold payment if claims, fraud, or non-compliance by the Affiliate are detected until the situation is resolved satisfactorily.

In Argentina, payments and withholdings will be made by WIPUU Services S.A.S., in accordance with local tax and banking regulations.

6. Cancellation and Refund Policy

Users may cancel their experiences subject to the following conditions:

Penalty: All cancellations incur a 10% (ten percent) penalty on the total value of the experience.
Retention of costs and services: Additionally, the current WIPUU service fee and applicable taxes (VAT) will be withheld.
No full refund: Under no circumstances will a full refund of the amount paid be issued.
Formal request: Cancellation requests must be sent to the email hi@wipuu.com, indicating the username and order number.
In case of disputes between User and Affiliate, WIPUU may act as a mediator to seek an equitable solution, without assuming final responsibility for the outcome.

Affiliates may establish complementary cancellation policies provided they do not contravene these Terms and are clearly published on their profile or experience.

7. Multimedia Content and Intellectual Property

Content (photos, videos, texts, descriptions, etc.) that Users or Affiliates upload to the Platform will be the exclusive responsibility of the person who publishes it.
By uploading such content, the user declares and guarantees that they possess the necessary rights or have authorization for its use, releasing WIPUU from any liability for third-party claims.

WIPUU may use such content for promotional, operational, or marketing purposes, without generating an obligation for additional payment or compensation.

Logos, trade names, interfaces, code, graphic design, databases, and other elements of the Platform are the exclusive property of WIPUU or its licensors and are protected by national and international intellectual property laws.

8. Modification, Suspension, or Removal of Experiences

WIPUU may modify, suspend, or remove any experience that:

Does not comply with quality or safety policies.
Infringes intellectual property rights.
Violates local laws or regulations.
Affects the reputation or integrity of the Platform.
Likewise, WIPUU may update its services and functionalities at any time to improve the user experience or adapt to technological and regulatory changes.

9. Limitation of Liability

To the maximum extent permitted by law, WIPUU shall not be liable for:

Indirect, incidental, consequential, or punitive damages.
Loss of income, reputation, or data.
Errors in the execution or content of the experiences offered by Affiliates.
Any damage arising from the misuse of the Platform or the payment gateway.
The use of the Platform implies the acceptance of these risks by the User and the Affiliate.

10. Indemnification

Users and Affiliates agree to indemnify and hold harmless WIPUU, its employees, directors, partners, and representatives, from any claim, loss, damage, or expense (including legal fees) arising from:

The misuse of the Platform.
Violation of these Terms.
Infringement of third-party rights.
This obligation shall survive even after the termination of this agreement.

11. Communications and Promotional Content

By registering, Users and Affiliates authorize WIPUU to send electronic communications, operational notifications, promotions, and personalized recommendations.

They may unsubscribe from promotional emails at any time by following the instructions contained in each message or by configuring their preferences within their account.

12. Modifications to the Terms

WIPUU may modify these Terms at any time. Updated versions will be published on the Platform and will indicate the date of their last revision.
Continued use of the Platform after the publication of changes implies acceptance of the new Terms.

13. Governing Law and Jurisdiction

For global operations (except Argentina), these Terms are governed by the laws of the United Mexican States, with users and affiliates submitting to the jurisdiction of the competent courts of Mexico City, waiving any other jurisdiction.
For operations conducted in Argentina, these Terms shall be interpreted in accordance with the laws of the Argentine Republic, with the courts of the Autonomous City of Buenos Aires being competent.
